Workshop Terms

Virtual Workshops
InsideOut Development, LLC ("InsideOut Development") will provide the virtual workshop platform using Zoom, Teams, or a comparable platform. The individual scheduling any workshop affirms that they have the authority to bind the company they represent ("Client") to these terms. Client will ensure that all participants meet the minimum system requirements necessary to fully participate in workshop activities.
On-Site Workshops
For on-site workshops, Client will provide the location and necessary equipment at their own expense.
Invoice and Payment Terms
- Workshop Fees: Workshop presenter fees will be invoiced upon the completion of the workshop.
- Materials: Materials will be invoiced upon the provision of a link for electronic materials or the shipment of hardcopy materials.
- Payment Terms: Unless otherwise agreed upon in writing, all invoices are payable within 30 days from the invoice date.
Cancellation or Rescheduling
- Notice Requirement: Client must provide at least 30 days' notice to cancel or reschedule a workshop without incurring change fees.
- Rescheduling: Rescheduling can be arranged via email, provided both client and InsideOut Development agree in writing, and the email is attached to the electronic copy of this Workshop Agreement.
- Fees for Late Changes: If cancellation or rescheduling occurs less than 30 days before the workshop, the following fees apply:
- 15-29 days in advance: 60% of the program fee plus lost expenses.
- 8-14 days in advance: 80% of the program fee plus lost expenses.
- Within 7 days in advance: 95% of the program fee plus lost expenses.
Indemnity
Client shall indemnify InsideOut Development, including its employees, officers, agents, and contractors, against any costs, claims, damages, demands, or expenses arising from client’s actions or omissions, or from the use of any materials or services provided by client.
Copyright and Licensing
All copyrights, trademarks, and other intellectual property rights remain the property of InsideOut Development. No licensing of materials is included under these terms.
Force Majeure
InsideOut Development will not be liable for any failure or delay in delivering services caused by circumstances beyond its control, including but not limited to fire, accidents, civil disturbances, pandemics, government actions, or internet outages. InsideOut Development is not liable for any loss, damage, or expense suffered by client or any third party as a result of such events.
Limitation of Liability
To the extent permitted by law, InsideOut Development’s liability to client and participants in connection with the workshop shall not exceed the total amount paid by client for the facilitator fees. The workshop may involve limited physical activity, and it is the responsibility of client and participants to ensure they are physically capable of undertaking these activities. Client and participants assume all associated risks.
Governing Law
These terms are governed by the laws of the State of Utah and the United States of America, without regard to conflict of law principles. Client agrees that any legal action arising out of or relating to these terms shall be filed only in the state or federal courts located in Utah. Client is not entitled to injunctive or other equitable relief. If any provision of these terms is found to be unlawful, void, or unenforceable, it shall be severable from the remaining provisions and shall not affect their validity or enforceability.
